There had been rumours that O'Neill, 58, was ready to walk away, with the former Celtic boss said to be unhappy at Lerner's transfer policy.
"We feel very good about that because it represents continuity for the players," said Lerner.
Lerner added that midfielder James Milner will be not be leaving the club.
The 24-year-old has had a fine season with the club, earning a place in England manager Fabio Capello's preliminary 30-man World Cup squad.

Milner has two years left on his contract and has attracted interest from several clubs, but Lerner intends to hold on to the winner of the Professional Footballers' Association young player of the year award.
O'Neill met with Lerner on Tuesday to discuss Villa's season and their plans for next term.
Villa finished sixth in the Premier League and also reached the final of the Carling Cup and semi-finals of the FA Cup.
Although Villa fell short in their bid to break into the Premier League's top four, O'Neill was delighted with his side's overall campaign and is now hoping that he can push on next season after summer strengthening.
O'Neill admitted last week that he would need to improve the team just to stand still in a fiercely competitive top flight.

That's one less job opportiunity for our sparkless mate hughes - TAKE THE WEST HAM JOB HUGHES

If they'd have lost O'Neill they would have gone backwards and would have been one less thing to worry about, though we should surpass them anyway if all goes well. Wonder what players he'll sign?

Its not a new thought that Villa will wait for City have done their worst in the market before moving in.

Although I dont think we target the same players any more, you?

I reckon Randy says Milner is staying which means Milner is staying.

It has its good side though...the West Ham matchday programme next season has a readers wives section..:)

I'm not surprised ......

he's done well there , and sixth place (and 64 points) was an excellent finishing position for Aston Villa ...... even though they'd finished in an identical league position the previous season with 62 points.

Not a lot of progress maybe ..... but they'd consolidated their challenge.
