It doe's for Everton. Financially they are 'backs to the wall'. Jo at the same time was superfluous to requirement at COMs. Both the deals are therefore separate.
Moyes has come out and said no players leaving. We will have to prise Lescott from their grip they will holdout for every penny but I think it will still happen. More likely IMO than Terry though fingers crossed that will happen as well.
